The terms for using Praxion
Praxion provides software, tools and training. Consultants and the companies they work with are independent of Praxion and of each other, and each is responsible for its own conduct, agreements, licenses and insurance.
These Terms of Service (the “Terms”) are a binding agreement between you and Praxion Agentic CRM Solutions (“Praxion,” “we,” “us”). By using praxioncrm.com, the Praxion portal, the Praxion phone line or any Praxion tool (together, the “Services”), you agree to these Terms and to our Privacy policy. If you use the Services for a company, you confirm you may bind that company to these Terms. If you do not agree, do not use the Services.
1. Our role
Praxion is a technology provider. We supply software, a portal, training material, marketing and communication tools, and related support (the “Tools”) to independent consultants (“Consultants”) and to the businesses that use or evaluate Praxion (“Companies”). Except where a Company signs a written Praxion proposal or order through the portal, Praxion is not a party to any agreement, arrangement or communication between a Consultant and a Company.
2. Independent contractors
Consultants are independent contractors. Nothing in these Terms or in the use of the Services creates an employment, agency, partnership, joint-venture or franchise relationship between Praxion and any Consultant, or between Praxion and any Company. A Consultant has no authority to make any promise, representation, warranty, price commitment or agreement on Praxion’s behalf except as expressly allowed in a written agreement signed by Praxion. Consultants control the manner, means, hours and location of their own work and are responsible for their own taxes, expenses, equipment and compliance.
3. No liability for consultant and company dealings
All dealings between a Consultant and a Company, including meetings, communications, statements, advice, recommendations, side agreements, scheduling, on-site visits, payments made outside the Services, and any dispute, loss, damage, injury, claim or interference arising from them, are solely between that Consultant and that Company and are conducted on their own independent terms. To the fullest extent permitted by law, Praxion is not responsible or liable for the acts, omissions, conduct, statements, work product or agreements of any Consultant or any Company, and each Consultant and Company releases Praxion and its owners, officers, contractors and affiliates from claims arising out of their dealings with each other. Praxion may, but is not obligated to, review, monitor, mediate or intervene in any dealing or dispute.
4. Licenses, insurance and location
Requirements for licenses, registrations, permits, insurance, background checks, tax filings and other documentation differ by state, province, municipality and country. Each Consultant is solely responsible for determining, obtaining, maintaining and paying for everything required for the work they do, based on where they reside and where they perform work or contact Companies, including any business or professional license, sales or solicitation registration, and insurance such as general liability, professional liability (errors and omissions) and cyber liability coverage. Consultants working from or with parties outside the United States must also comply with the laws of those countries, including data-protection, export-control and sanctions laws.
Praxion may ask a Consultant for proof of any license, registration or insurance, may verify it, and may suspend or limit access to the Services until it is provided. Praxion does not provide legal, tax or insurance advice, and any checklist or guidance in the Services is a convenience, not a statement of what the law requires in your location. Companies are likewise responsible for their own licensing, permits, insurance and regulatory compliance.
5. Location-based restrictions
Some Services, features, pay programs, communication tools (for example calls, text messages and recordings) and onboarding steps may be unavailable, limited or subject to additional conditions in certain states or countries because of local law, consent rules or provider policies. Praxion may restrict, change or decline to offer any part of the Services in any location at its discretion. You are responsible for using the Services only where and as permitted by the laws that apply to you, including obtaining any consent required before contacting, calling, texting or recording anyone.
6. Using Praxion responsibly
- Give accurate information, keep your sign-in credentials and two-step codes private, and tell us promptly about any unauthorized use of your account.
- Do not misrepresent Praxion, its products, pricing, results or your relationship with Praxion.
- Do not use the Services to send unlawful, misleading or unconsented communications, to infringe anyone’s rights, or to access data you are not authorized to access.
- Do not copy, resell, reverse engineer or interfere with the Services, or attempt to bypass security, rate limits or access controls.
We may suspend or end access to the Services for any breach of these Terms or to protect users, Companies or Praxion.
7. No warranty
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXION DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE OR PRODUCE ANY PARTICULAR RESULT, INCOME OR SALES. Any earnings figures or calculators are illustrations only and are not promises of income.
8. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, PRAXION WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR ANY DEALINGS BETWEEN CONSULTANTS AND COMPANIES, EVEN IF ADVISED OF THEIR POSSIBILITY. PRAXION’S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID PRAXION FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU PAID NOTHING. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.
9. Indemnification
You agree to defend, indemnify and hold harmless Praxion and its owners, officers, contractors and affiliates from any claim, loss, liability, damage, fine, cost or expense (including reasonable attorneys’ fees) arising out of your use of the Services, your breach of these Terms, your violation of any law or third-party right, your failure to hold any required license, registration or insurance, or your dealings with any Consultant or Company.
10. Governing law
These Terms are governed by the laws of the State of Wisconsin, United States, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Dane County, Wisconsin, and you consent to their jurisdiction, except where the law of your location gives you a non-waivable right to proceed elsewhere. If any part of these Terms is found unenforceable, the rest remains in effect.
11. Changes
We may update these Terms. We will change the “Last updated” date and, for a significant change that affects portal accounts, tell account holders in the portal or by email before it takes effect. Continuing to use the Services after a change means you accept the updated Terms. Separate written agreements (for example a consultant’s independent contractor agreement or a Company’s signed proposal) control where they conflict with these Terms.
